Acquisition of certain assets of Countrybookshop

The Company is pleased to announce that it has agreed terms for the acquisition of certain assets of Country Bookshop Limited ("Countrybookshop"), the on-line bookselling business and community web-site for a consideration of £500,000 of which £250,000 will be paid in cash and £250,000 by the issue of new ordinary shares of 1p each in the Company, valued at the average mid-market price over the five business days prior to completion. The acquisition will include the on-line book retailing business and magazine subscription service trading under the name Countrybookshop.co.uk and the community website model to be known as Booksconnect.co.uk. The vendor will retain ownership of the retail outlet and the Peak Book Festival.

Mr. Sridhar Siddegowa, founder of Countrybookshop, will join the management team in order to provide strategic advice on e-commerce activities across the company.

Commenting, Charles Denton Deputy Chairman said: “This is our first strategic investment to accelerate our expansion of the Company. Countrybookshop.co.uk was a pioneer of online bookselling with a well established brand name, valuable technology, community website software and an extensive customer database. We quickly aim to integrate the business into the Samedaybooks platform to deliver a step change in our growth. ”

Commenting on the transaction Mr. Siddegowa said: “I am extremely pleased to have found a home for our business that will allow us to spend more time developing our e-commerce ideas and the social networking side under the new concept, Booksconnect.co.uk. We are also in discussions with potential partners to extend our platform into the Indian market.”
